We reserve the right to modify these Terms at any time. Continued use of our services after any changes constitutes acceptance of the revised Terms.

2. Professional Services

AGNI TAX AUDIT & SOLUTION provides professional statutory, tax, audit, and business compliance services including but not limited to:

Business Licensing and Company / LLP Registration

GST Registration, Filing, and Compliance

Income Tax Return Filing and Audit

Labour Department Statutory Compliance (PF, ESI)

FSSAI, Trade Licence, and MSME / UDYAM Registration

Accounting, Secretarial, and Statutory Advisory Services

All services are subject to a separate engagement letter or service agreement between the Firm and the Client, which shall govern the specific scope, timelines, and fees.

3. Client Responsibilities

As a client, you agree to:

Provide accurate, complete, and up-to-date information and documents required for the performance of the engaged services.

Notify us promptly of any changes to your business, financial position, or regulatory status that may affect the services.

Review all filings, documents, and reports prepared by us and approve them before submission to any authority.

Make timely payment of professional fees as agreed in the engagement letter.

The Firm shall not be liable for any errors, penalties, or adverse consequences arising from inaccurate, incomplete, or delayed information provided by the Client.

4. Fees and Payment

Professional fees for our services are agreed upon at the time of engagement and may be revised by mutual written consent.

Invoices are payable within the timelines specified in the engagement letter. Late payments may attract interest as per applicable law or as agreed.

Government fees, registration charges, stamp duties, and other statutory levies are payable by the Client in addition to professional fees, unless explicitly included in the engagement.

The Firm reserves the right to withhold delivery of reports, certificates, or filings until outstanding fees are settled.

5. Confidentiality

Both parties agree to maintain strict confidentiality of all information shared in the course of the professional engagement.

The Firm will not disclose your confidential business or personal information to any third party except as required by law, regulatory authority, or with your explicit written consent.

Our confidentiality obligation survives the termination of the engagement.

6. Limitation of Liability

The Firm's liability to any Client for any claim arising out of or in connection with the services rendered shall not exceed the total professional fees paid by the Client for the specific service giving rise to the claim.

The Firm shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities.

The Firm is not responsible for any penalty, interest, or adverse order imposed by any government authority due to changes in law, retroactive assessments, or factors beyond our control.

Nothing in these Terms limits liability for fraud, wilful misconduct, or professional negligence as determined by a competent court.

7. Intellectual Property

All content on this website — including text, graphics, logos, icons, and service descriptions — is the property of AGNI TAX AUDIT & SOLUTION and is protected under applicable intellectual property laws.

You may not reproduce, distribute, or use any content from this website for commercial purposes without our prior written consent.

Reports, certificates, and documents prepared by the Firm for a Client are the property of the Client upon full payment of fees.

8. Website Use

You agree to use this website only for lawful purposes and in a manner that does not infringe the rights of others.

We reserve the right to restrict or terminate access to the website for any user who violates these terms.

Either party may terminate a service engagement with written notice as specified in the engagement letter.

Upon termination, the Client is liable for fees for services rendered up to the date of termination.

The Firm will return original client documents upon request following settlement of all outstanding dues.

Provisions relating to confidentiality, limitation of liability, and intellectual property survive termination.

11. Governing Law and Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of India.

Any dispute arising out of or relating to these Terms or the services provided shall first be attempted to be resolved through mutual negotiation in good faith.

If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India.
